What We Do · Company Administration

We incorporate Gibraltar companies in as little as three working days and provide full ongoing administration — registered office, corporate governance, annual filings, directors, and company secretarial services. Resilience Group is GFSC-licensed as a Company Manager, and the structures we set up are built to satisfy substance, banking, and regulatory scrutiny from day one.

What this service covers

Four core company-administration services. Most clients take all four together, but each can be provided independently.

Company formation

We handle the entire incorporation process — name reservation, memorandum and articles, registration with Companies House, and issuance of the certificate of incorporation. Standard formation 3–5 working days; urgent incorporations within 24 hours.

Registered office and corporate governance

Registered office from our Gibraltar premises, registered-agent service for statutory communications, board minutes, written resolutions, and the full set of statutory registers — directors, shareholders, beneficial owners.

Company secretarial

Annual returns, changes of directors or shareholders, share allotments, and filings with the Gibraltar Companies House — all handled on your behalf and tracked on a single regulatory calendar.

Corporate directors

Where your structure requires a Gibraltar-resident director for management-and-control or banking purposes, our team includes experienced professionals who serve in that capacity as real fiduciaries — not as rubber stamps.

What We Won't Do

Where we draw the line

Explicit scope-exclusion is more useful to a serious client than another positive claim. Here is what we will not take on.

We don't provide nominee directors who rubber-stamp.

Our directors are real fiduciaries. They read the board papers, ask the questions, and refuse the resolution if they cannot defend the decision. Clients who need a name on a registry to give the appearance of management while real decisions happen elsewhere are not a fit for us — for both regulatory and substance reasons. Banks and tax authorities increasingly probe management-and-control; a rubber-stamp director is a liability we will not provide.

Process

How an engagement works

Step 01 Compliance checks

Full KYC/AML due diligence on all beneficial owners, directors, and authorised signatories. Source-of-funds review where relevant. Typically completed inside a week for straightforward structures.

Step 02 Name reservation and document preparation

Name reserved with the Gibraltar Companies House, memorandum and articles tailored to the structure, director and shareholder appointment documents prepared for signature.

Step 03 Registration

Filing with Companies House and issuance of the certificate of incorporation. Standard 3–5 working days; urgent incorporations 24 hours where the file is clean.

Step 04 Post-incorporation setup

Statutory registers populated, registered office and agent in place, bank-account introduction to our panel, first board minutes, and the first cycle of company-secretarial obligations scheduled.
